In summary the EULA contains legally and practically problematic language (e.g., auto-renewal -
though this is acceptable as long as it is the free version, CA law, mandatory arbitration, and
requirement to pay attorneys' fees). Legal approval to proceed cannot be provided without revisions
to the terms, either directly or via an addendum. However, Legal Counsel does not dictate whether
a department may sign a contract or procure a service, they only review terms and provide contract
approval. Without changes to the terms or purchase via PO, that approval cannot be provided.

FERPA addendum was not required of the vendor in this use case based on the following: Students
must be informed by the department that they have choices to not provide personally identifiable
information to the vendor when they create an account, and can remain anonymous.
